Effective Date: 05/09/2022
1. Participation
Your participation is subject to approval. We may accept or decline applications at our discretion.
2. Responsibilities
You must:
- Represent candidates truthfully.
- Obtain consent before sharing their details.
- Avoid bypassing iGlobal to contact clients directly.
3. Candidate Ownership
Ownership lasts 180 days post-submission unless the candidate is already in our system. We resolve duplicates using internal records.
4. Payments
Payouts happen only after a successful hire completes their 90-day guarantee period. Payment is made within 30 business days post-invoice.
5. Confidentiality & Non-Solicitation
You must:
- Not contact iGlobal clients directly for 12 months post-engagement.
- Treat all shared information as confidential.
6. Legal Compliance & Privacy
You must follow all applicable laws (labor, data privacy, etc.). No unauthorized use of personal data.
7. Liability & Disputes
You're responsible for issues caused by your actions. iGlobal is not liable for indirect damages. You agree to indemnify us for breaches or legal issues arising from your conduct.
8. Insurance
Maintain the following insurance:
- Professional Liability: $1M
- General Liability: $1M
- Cyber Insurance (recommended)
Provide proof when requested.
9. Termination
Either party can terminate at any time. You will still receive payments for completed placements.
10. Independent Contractor
You're not an employee of iGlobal Services.
11. Legal Framework
This agreement is governed by Texas law. Disputes go to Collin County, TX. Mediation is required before legal action.
12. Ownership & Audits
All intellectual property remains iGlobal's. We may audit your submission records if needed.
