This Candidate Service and Placement Fee Agreement ("Agreement") is entered into by and between:

iGlobal Services LLC, a Texas limited liability company, located in Allen, TX,
and
, residing at   ("Candidate").

Each a “Party” and collectively the “Parties”.

1. Purpose

This Agreement outlines the terms under which iGlobal Services provided career advisory and placement services, resulting in Candidate’s offer and acceptance of employment with   as a ____________________, starting , 20 .

2. Agreement Term & Acceptance

• Agreement valid for acceptance for 7 calendar days from Effective Date.

• Agreement remains in effect for 18 months, unless terminated earlier.

3. Compensation & Payment Terms

Candidate agrees to pay iGlobal Services:

• 40% of gross monthly salary (Months 1–6)

• 35% (Months 7–12)

• 30% (Months 13–18)

Security Deposit:
Equal to 2 months of net salary (refundable after 18-month term completion).

Late or defaulted payments may result in:

• Legal action

• Loss of deposit

• Interest at 8.38%/month + $75 late fee

• Collection costs charged to Candidate

Payment Due: 5th business day of each month.

4. Early Termination & Liquidated Damages

• Breach leads to injunctive relief + full balance due.

• Either party may terminate with 30-day notice. Candidate responsible for accrued dues.

5. Refund Limitation

• If terminated involuntarily within 60 days (not Candidate’s fault):
  ▫ Pause payments or request credit (valid for 12 months)

• No refunds for past payments.

6. Non-Circumvention

Candidate cannot work directly (or indirectly) with clients introduced by iGlobal Services for 6 months post-engagement. Violations may result in legal action and full damages.

7. Independent Contractor

Candidate is not an employee or agent of iGlobal Services.

8. Representations & Compliance

Candidate confirms:

• Legal authorization to work in the U.S.

• No disqualifying convictions

• Agrees to background checks and all licensing requirements

• Grants iGlobal Services right to share submitted documents with clients

9. Indemnification

Candidate will indemnify iGlobal Services against:

• Contract breach

• Negligence or misconduct

• Legal disputes related to services rendered

10. Confidentiality & Data Handling

Candidate must:

• Return/destroy client data and issued devices post-termination

• Comply with HIPAA, PHI, PII, and regulatory standards

• Remain liable for any data mishandling or breach

11. Governing Law

This Agreement follows the laws of Texas, with exclusive jurisdiction in Collin County, TX.

12. Dispute Resolution

Both Parties agree to attempt mediation in Texas before any legal proceedings.

13–20. General Clauses

• No Waiver unless written

• Severability clause applies

• E-signatures accepted (DocuSign, HelloSign, etc.)

• Entire agreement supersedes all prior discussions

• Certain clauses survive termination

• Force majeure covered

• Notices must be in writing (certified mail or email)

• Intellectual property of work products belongs to the client

• Personal Guarantee: Candidate is fully liable for dues

• Agreement is governed in English only
